Terms of Service for Providers

These terms govern your use of the CareDevi provider platform.

1. Acceptance of Terms

By accessing or using CareDevi for Providers, you agree to these Terms.

  • These Terms form a binding agreement between your practice and CareDevi Inc.
  • By creating a provider account, you acknowledge you have read and agree to these Terms
  • You must be an authorized representative of your practice to accept these Terms
  • If you do not agree, you must not use the provider platform

2. Provider Account & Credentials

You are responsible for maintaining account security and accurate practice information.

  • Provide accurate practice details, specialties, and provider bios during onboarding
  • You are responsible for all activity under your account and any sub-accounts you create
  • Do not share credentials. Each provider in your practice should have their own account
  • Notify us immediately at providers@caredevi.com of unauthorized access
  • We reserve the right to suspend or terminate accounts that violate these Terms

3. Practice Listing & Patient Acquisition

Your practice will be listed in the CareDevi app directory when you activate your profile.

  • Your practice will appear in patient searches by specialty, location, and availability
  • You control your availability, appointment types, and which providers are listed
  • Patient reviews and ratings are subject to our content guidelines
  • We do not guarantee a specific volume of patient bookings or referrals
  • You may remove your listing at any time through your account settings

4. Patient Data & HIPAA

You are responsible for handling patient data in compliance with HIPAA and applicable laws.

  • Patient data is shared with your practice only with explicit patient consent
  • You must use patient data solely for care coordination and treatment purposes
  • Do not use patient data for marketing, research, or other purposes without additional consent
  • We will sign a Business Associate Agreement (BAA) with your practice upon request
  • Report any suspected data breach involving patient information to us within 24 hours

5. Medical Disclaimer

CareDevi provides a technology platform, not medical services.

  • CareDevi is a technology platform connecting patients with providers — we do not practice medicine
  • Patient wellness data shared through CareDevi should be verified before making clinical decisions
  • You retain full clinical responsibility for all patient care delivered through or facilitated by the platform
  • The platform does not replace clinical judgment, diagnostic tools, or medical record systems

6. Fees & Payments

Fees are based on your selected plan and are subject to change with notice.

  • Subscription fees are billed monthly or annually based on your selection
  • Revenue share applies to patient bookings sourced through the CareDevi platform
  • All fees are non-refundable except as required by law
  • We may change fees with 30 days notice. Continued use after changes constitutes acceptance
  • Disputed charges must be reported within 30 days of the billing date

7. Limitation of Liability

To the maximum extent permitted by law, CareDevi's liability is limited.

  • The platform is provided "AS IS" without warranties of any kind
  • We do not guarantee uninterrupted service, specific booking volume, or patient outcomes
  • CareDevi is not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
  • Some jurisdictions do not allow liability limitations — these apply to the extent permitted by law

8. Dispute Resolution

Disputes shall be resolved through arbitration.

  • First attempt informal resolution by contacting legal@caredevi.com
  • Unresolved disputes go to binding arbitration under AAA rules
  • Arbitration takes place in Texas
  • You waive the right to class action lawsuits or class-wide arbitration
  • Nothing prevents seeking injunctive relief for intellectual property violations

9. Termination

Either party may terminate this agreement.

  • You may close your provider account at any time
  • We may terminate for Terms violations or prohibited conduct
  • Upon termination, your practice listing is removed and access to the platform ends
  • Sections on IP, liability, dispute resolution, and indemnification survive termination

10. Changes to Terms

We may update these Terms periodically.

  • Material changes will be communicated via email at least 30 days before taking effect
  • The "Last Updated" date indicates the most recent revision
  • Continued use after changes constitutes acceptance
  • If you disagree with changes, discontinue use and close your account
